1. Introduction

These Terms and Conditions govern the subscription services provided by WebsiteSquirrel (“Company,” “we,” “us”) to you (“Client,” “you,” “your”). By signing up for any monthly subscription plan (“Subscription”), you agree to the terms outlined below.

These terms apply to all Subscription services unless otherwise agreed in writing.

2. Scope of Services

WebsiteSquirrel provides subscription-based web services, which may include:

• Website design and development
• Web hosting, domain, and SSL management
• Maintenance, support, and ongoing enhancements
• Dedicated request portal access
• Technical support and performance monitoring
  

3. Subscription Term and Renewal

3.1 Minimum Commitment

All Subscription plans require a non-cancelable minimum commitment of twelve (12) consecutive months from the date of initial enrollment (“Minimum Commitment Period”).

3.2 Automatic Renewal

After the Minimum Commitment Period, your Subscription will automatically renew on a month-to-month basis until terminated with written notice (see Section 8).
Any changes to pricing at renewal will be communicated at least thirty (30) days prior to the renewal date.

4. Fees and Payment

4.1 Monthly Fees

You agree to pay the applicable monthly Subscription fees specified in your service order or proposal. Monthly fees are due in advance on the same day each month.

4.2 Billing

Monthly payments must be made by credit card or other methods approved by Company. You authorize WebsiteSquirrel to charge your payment method on file each month.

4.3 Late Payments

Late payments may result in suspension of services until outstanding balances are paid.

5. Client Responsibilities

5.1 Cooperation

Client agrees to provide timely access, content, materials, approvals, and feedback necessary for Company to perform the Subscription services.

5.2 Accuracy

Client warrants that all materials and information submitted to Company are accurate and lawful.

6. Ownership

6.1 Intellectual Property

Unless otherwise agreed in writing, Client retains ownership of custom content provided by Client. Company retains ownership of proprietary tools and materials used to deliver Subscription services.

6.2 Deliverables

Upon full payment of all fees owed, Client obtains a license to use deliverables as outlined in the service order, subject to continued compliance with this TOS.

7. Support and Response Times

Company will provide maintenance and support through its dedicated request portal. Response times are generally same-business-day but may vary based on the complexity of requests and Company’s workload.

8. Termination

8.1 During Minimum Commitment Period

Client may not cancel the Subscription during the Minimum Commitment Period except for cause (e.g., material breach by Company). If Client terminates for non-Company cause, all remaining monthly fees due under the Minimum Commitment Period shall become immediately payable in full.

8.2 After Minimum Commitment Period

Client may terminate with thirty (30) days’ written notice after the Minimum Commitment Period.

8.3 Company Termination

Company may terminate or suspend services for Client’s non-payment or material breach, provided Client is given written notice and a reasonable opportunity to cure.

9. Warranties and Disclaimers

9.1 Company Warranty

Company represents that it will perform Subscription services with commercially reasonable skill and care.

9.2 Disclaimer

Except as expressly provided, ALL SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, AND COMPANY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

10. Limitation of Liability

To the maximum extent permitted by law, Company’s total liability arising out of or related to this TOS will not exceed the total fees paid by Client under the Subscription in the six (6) months prior to the claim.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared in connection with the Subscription services.

12. Governing Law

This TOS will be governed by and construed in accordance with the laws of the state where WebsiteSquirrel is headquartered, without regard to conflict-of-law provisions.

13. Changes to Terms

Company may modify these Terms of Service at any time. Material changes will be communicated at least thirty (30) days before the changes become effective.

14. Acceptance

By enrolling in a Subscription service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
